On November 27, (hereinafter referred to as "China Shipbuilding Group") held the commencement ceremony for the first production of a luxury ro ro passenger ship (a kind of short and medium distance cruise ship that can carry goods and passengers at the same time) built by COSCO Shipping Group. In fact, this ship is also the first ship to start construction after the unveiling of the "China God Ship". On November 26, China Shipbuilding Group was officially inaugurated. China Shipbuilding Group was jointly reorganized and established by the former China (hereinafter referred to as "CSCEC") and the former China (hereinafter referred to as "CSCEC"), with total assets of 790 billion yuan. Lei Fanpei, secretary of the Party Leadership Group and chairman of the board of directors of China Shipbuilding Group, said that now, after the merger of the two "North South Shipbuilding" companies, China Shipbuilding Group has become the world's largest shipbuilding group.

Since the beginning of this year, the reorganization and integration of state-owned enterprises have sprung up, and mergers and acquisitions have been carried out one after another. The merger and reorganization of several large state-owned enterprises that have been brewing for a long time have been completed, and the integration trend of central enterprises to local state-owned enterprises is also strengthening. "The establishment of China Shipbuilding Group marks an important step forward in the professional integration of state-owned enterprises." Hu Chi, a researcher of the Research Center of the State owned Assets Supervision and Administration Commission of the State Council, said in an interview with the China Economic Herald that with the acceleration of the reform process of state-owned enterprises represented by the merger of the two ships and the loosening of major asset restructuring policies, the military industry is expected to usher in a new round of restructuring and integration, and will vigorously promote the asset securitization rate of the military industry. He said that, as a "national team" for the development of the shipbuilding industry, it will continue to develop in the field of world-class marine equipment such as large cruise ships, liquefied natural gas carriers, and super large container ships, leading China from a shipbuilding power to a shipbuilding power.

The world's largest shipping group

In 1999, China Shipbuilding Group and China Shipbuilding Heavy Industry (CSIC), which were split into two groups, were called "South Shipbuilding" and "North Shipbuilding" respectively. On October 25 of this year, the two major groups of "North South Shipbuilding" simultaneously announced that: with the approval of the State Council, China Shipbuilding Group and China Shipbuilding Heavy Industry Corporation were approved to implement joint reorganization and new establishment. The State owned Assets Supervision and Administration Commission (SASAC) performed the role of investor on behalf of the State Council, and China Shipbuilding Group and China Shipbuilding Heavy Industry Corporation were transferred into China Shipbuilding Group as a whole.

According to the data, CSSC Group was established on July 1, 1999. It includes China Shipbuilding, China Shipbuilding Defense and China Shipbuilding Science and Technology, and has six major sectors, including shipbuilding repair, ocean engineering, power equipment, information and control, and productive modern service industry. Founded on July 1, 1999, China Shipbuilding Heavy Industry Co., Ltd., China Power, China Coast Defense, China Emergency, Long Ocean, etc.

Lei Fanpei introduced that in the past 20 years, the "North South Ship" has worked closely together to form their own differentiated scientific research and production system and direction. He pointed out that China's shipbuilding industry mainly focuses on the manufacture of civilian ships, taking into account some military products; CSIC focuses on military research. Therefore, the merger of the two ships is conducive to achieving complementary advantages and jointly promoting the development of China's shipbuilding industry.

In view of the main impact of the restructuring of the "North South Ship", the CSC Research Report believes that, first, it is conducive to optimizing capacity resources and effectively removing excess capacity; Second, to some extent, reduce ineffective competition and improve the international competitiveness of enterprises; Third, improve the whole industrial chain and give play to complementary and synergistic effects. The reorganization of "North South Ship" adopts the strategy of two parallel lines at the group level.

At present, the level of restructuring is steadily advancing. China Shipbuilding Group said that in the context of the strategic restructuring being planned by China Shipbuilding Group and China Shipbuilding Heavy Industry, the optimization and adjustment of this transaction plan is conducive to optimizing the capital structure of China Shipbuilding, actively and steadily accelerating the market-oriented debt equity swap and strategic restructuring of the shipbuilding industry. In the context of the strategic restructuring of "North South Ship", the plan of China Shipbuilding Group is also seen by the industry as the paving road for further operation of the two groups after restructuring.

Smart ships welcome great development opportunities

With the formal establishment of China Shipbuilding Group, the Group will also have a large ship building and repairing base in China and a complete R&D capability of ships and supporting products, and be able to design and build marine equipment that meets the specifications of the global classification society and the requirements of international general technical standards and safety conventions. Li Liang, an analyst of China Galaxy Securities, said in his research report that the establishment of China Shipbuilding Group is also conducive to the improvement of the international competitiveness of China's shipbuilding industry and the development in key areas such as smart ships.

At the end of 2018, the Ministry of Industry and Information Technology, the Ministry of Transport and the State Administration of Science, Technology and Industry for National Defense jointly issued the Action Plan for the Development of Intelligent Ships (2019-2021). It is clearly proposed that the top-level plan for the development of intelligent ships in China will be formed after three years of efforts, the standard system for intelligent ships will be initially established, the core technologies such as navigation situation intelligent perception, automatic berthing and unberthing will be broken through, and the development of relevant key intelligent equipment systems will be completed, so as to keep the development of intelligent ships in China in step with the world's advanced level.

Intelligent ships, similar to intelligent cars, mainly refer to the use of artificial intelligence, the Internet of Things, communications, sensors and other technical means to sense and obtain information and data related to ships, marine environment, port logistics, etc. At the same time, through the analysis and use of these data, we can promote the intelligent upgrading of ship management, operation, maintenance, transportation and other links. Li Liang analyzed that for relevant shipbuilding enterprises, through the automation and intelligent application and transformation of production lines, the corresponding process production efficiency can be significantly improved, and the product construction cycle can be significantly shortened; For shipping enterprises, the input of intelligent ships can effectively save human cost, improve shipping efficiency and efficiency, and enhance the comprehensive competitiveness of enterprises.

In today's era, the development of ship intelligence and ship manufacturing intelligence has become an inevitable trend in the field of ship manufacturing and shipping. Recently, Xin Guobin, Vice Minister of the Ministry of Industry and Information Technology, said that China's shipbuilding efficiency is only 1/2 to 1/3 of the world's advanced level, and the gap in labor productivity is even greater. To change this situation, intelligent manufacturing is an important way.

In 2015, China Shipbuilding Group released a thinking smart ship named after dolphins at its Smart Ship Development Forum. In November 2018, Mingyuan, the world's first 400000 ton intelligent super large ore carrier customized by the Group for Zhaotong, was officially named and delivered in Shanghai. The ship can achieve automatic driving and obstacle avoidance, and the best route is selected according to objective factors such as marine meteorological conditions. It is reported that "Mingyuan" is the first demonstration ship of the national intelligent ship 1.0 research and development project.

The reform of state-owned enterprises has entered a critical period

Promoting restructuring and integration is one of the highlights of this year's SOE reform. According to the planning of the State owned Assets Supervision and Administration Commission of the State Council, in 2019, we will further promote integration and integration, and constantly optimize the layout and structure of state-owned capital. Actively and steadily promote the strategic restructuring of enterprises in equipment manufacturing, shipbuilding, chemical industry and other fields; Establish national stone to separate pipeline transportation from sales; We will continue to promote the professional integration of power, nonferrous metals, steel, marine engineering equipment, environmental protection, duty-free goods and other fields.

In July of this year, with the implementation of restructuring, the company was transferred into China without compensation, and no longer directly supervised by the SASAC. For a while, the expectation of the capital market for the merger and reorganization of central enterprises, especially the strategic reorganization, rose again.

The field of marine engineering equipment closely related to the shipbuilding industry is also closely promoting resource integration. It is understood that Guohai has officially unveiled in the first half of this year. China Chengtong and CNOOC, as the leading units, have jointly established a central enterprise marine equipment asset management platform with five central enterprises of marine equipment manufacturing. It is reported that the platform will give full play to its overall and professional advantages, enhance China's voice in the international offshore equipment market, and ensure the quality and value of offshore assets.

According to the latest data of Shanghai Stock Exchange, since this year, Shanghai state-owned enterprises have actively integrated their advantageous production capacity through mergers and acquisitions, further optimized their governance structure and asset quality, and created a number of leading listed platforms. In the first half of 2019, state-owned enterprises in Shanghai Stock Exchange conducted 225 M&A transactions of various types, with a transaction amount of about 240 billion yuan. Among them, 24 major asset restructuring plans were disclosed, involving a transaction amount of nearly 100 billion yuan; 11 major asset restructurings were completed, involving a transaction amount of 66 billion yuan.

Zhou Lisa, an associate researcher of the Research Center of the State owned Assets Supervision and Administration Commission of the State Council, said in her blog a few days ago that this round of restructuring and integration of central enterprises has adopted three types of methods: first, horizontal inter-bank merger, which includes both the "strong strong combination" type of merger and reorganization between central enterprises and the "strong weak" type of merger and reorganization, such as the merger of China Silk Road into Poly, mainly to improve concentration and resolve excess capacity. The second is the vertical merger along the upstream and downstream industrial chains, such as the merger of Shenhua Group and Guodian Power, whose main purpose is to become bigger and stronger, play a synergistic role or promote transformation and upgrading. Third, new ways of co construction and sharing, such as iron tower group and offshore equipment platform, are intended to revitalize the stock, reduce horizontal competition and repeated construction. Hu Chi said, "In the future, the ways of restructuring and integration of central enterprises will be more abundant, with more emphasis on professional integration.
